Article 6: Operations and Administration Committee


Section 1

There shall be an Operations and Administration Committee composed of the President and at least three other Trustees, one of whom shall be elected Chair.  The members of the Committee, other than the President, shall be elected at the annual meeting of the Board of Trustees to hold office until the next annual meeting and until their successors are elected.  In the case of a vacancy in the Operations and Administration Committee, the same may be filled by the Board at any meeting. The Board of Trustees may designate an alternate Trustee who may attend a  meeting in the place of an absent member and exercise any and all powers that the absent member might have exercised.

Section 2

The Operations and Administration Committee shall provide oversight on behalf of the Board of the operations of the corporation and of the non-programmatic operations of each major scientific, educational, and research institution of the corporation.  The scope of the Committee shall include, but not be limited to, such issues as environment, safety and health (ES&H), liability; personnel, and financial matters.  The Committee shall conduct appraisals and assessments deemed appropriate by the Chair or requested by the Board of Trustees.
